1. DEFINITIONS
1.1. Service – The next-day and two-day delivery services provided by ECO-KED within the specified delivery area.
1.2. Delivery Area – Inner London boroughs, including Camden, Greenwich, Hackney, Hammersmith & Fulham, Islington, Kensington & Chelsea, Lambeth, Lewisham, Southwark, Tower Hamlets, Wandsworth, Westminster, the City of London, Hounslow, and Ealing.
1.3. Collection Area – Collections available across Greater London.
1.4. Eco-Friendly Vehicles – Zero-emission vehicles used to reduce environmental impact.
1.5. Free Returns – Free return service for any delivery performed by ECO-KED.
1.6. Carma.Earth Partnership – For every two deliveries made, ECO-KED will plant a tree in partnership with Carma.Earth.
2. SCOPE OF SERVICES
2.1. ECO-KED agrees to provide the following services to the Client:

Next-day and two-day delivery of parcels from the Client's designated collection location(s) to the recipient's address within the Delivery Area.

Collection of parcels from the Client's premises across Greater London.

Free returns for any delivery made by ECO-KED.

Route optimization software for maximum efficiency and real-time tracking.
2.2. The next-day and two-day delivery services will commence from the time of collection of the parcel from the Client's location.
2.3. ECO-KED will ensure that deliveries are made using eco-friendly, zero-emission vehicles in line with the company’s sustainability objectives.
3. PRICING AND PAYMENT
3.1. The Client agrees to pay ECO-KED in accordance with the pricing structure outlined in the website or if other amount has been agreed upon.
3.2. Invoices will be issued on a weekly basis and are payable within 10 days from the date of invoice.
3.3. Late payments may incur an interest charge of 5% per month, calculated on a daily basis from the due date until payment is made in full.
3.4. ECO-KED reserves the right to suspend services if payments remain outstanding for more than 30 days and legal actions will take place.
4. CLIENT OBLIGATIONS
4.1. The Client shall ensure that parcels are properly packaged and labelled for delivery.
4.2. The Client shall provide accurate and complete delivery information, including recipient names, addresses, and contact details.
4.3. The Client shall notify ECO-KED of any delivery cancellations or changes at least 24 hours before the scheduled collection time.
4.4. The Client is responsible for ensuring that the contents of the parcels comply with all relevant laws and regulations.
5. SERVICE LEVEL AGREEMENT (SLA)
5.1. ECO-KED shall endeavour to meet the following service levels:

Next-Day Delivery – Delivery within 24 hours from the time of collection.

Two-Day Delivery – Delivery within 48 hours from the time of collection.
5.2. Delays caused by force majeure events, including but not limited to adverse weather conditions, natural disasters, strikes, or road closures, shall not constitute a breach of this Agreement.
5.3. ECO-KED will provide real-time delivery tracking.
6. RETURNS
6.1. ECO-KED offers free returns for any parcel delivered by ECO-KED.
6.2. The Client must notify ECO-KED within 14 days of the delivery if a return is required.
7. LIABILITY AND INDEMNITY
7.1. ECO-KED’s total liability for loss or damage to a parcel shall not exceed £50 per parcel unless additional insurance has been purchased by the Client.
7.2. ECO-KED shall not be liable for:

Loss or damage due to inadequate packaging.

Delays caused by incorrect or incomplete delivery information provided by the Client.

Consequential or indirect loss, including loss of profits or business interruption.
7.3. The Client shall indemnify and hold ECO-KED harmless from any claims, losses, or damages arising from the Client’s breach of this Agreement.
8. TERMINATION
8.1. Either Party may terminate these Terms & Conditions with 14 days written notice.
8.2. ECO-KED may terminate these Terms & Conditions immediately if the Client fails to make timely payments or breaches any material term of this Agreement.
8.3. Upon termination, all outstanding fees shall become immediately due and payable.
9. CONFIDENTIALITY
9.1. Both Parties agree to keep all information related to these Terms & Conditions confidential, including pricing, delivery details, and business practices.
9.2. Confidentiality obligations shall survive termination of these Terms & Conditions for a period of 2 years from the start date.
10. DATA PROTECTION
10.1. ECO-KED shall process personal data in compliance with the UK General Data Protection Regulation (UK GDPR).
10.2. ECO-KED shall not share personal data with third parties except as required to perform the services under these Terms & Conditions.
11. FORCE MAJEURE
11.1. Neither Party shall be held liable for failure to fulfil obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, strikes, or governmental actions.
12. GOVERNING LAW AND JURISDICTION
12.1. These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
12.2. Any disputes arising from these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
